Job Overview

The head of legal is responsible for providing guidance on corporate governance, negotiating and drafting contracts, risk management, and the development of plans and policies. They are also tasked with ensuring that the legal department – staff and resources – are managed effectively keep records of all licenses & compliances and all litigation matters. Knowledge in legal aspects relating to various Labour Laws, Shops and Establishment Legislations, Contract Labour (Regulation and Abolition) Act etc. A lawyer provides counsel and represents businesses, individuals, and government agencies in legal matters and disputes. A lawyer’s main duties are to uphold the law while protecting a client’s rights. Lawyers advise, research, and collect evidence or information, draft legal documents such as contracts, divorces, or real estate transactions, and defend or prosecute in court. Lawyers can specialize in a number of areas, such as corporate, family, bankruptcy, or environmental law.

Job Functions/ Responsibilities

  • Providing Legal and regulatory advisory and support on all matters relating to the daily operations of affiliated companies.
  •   Undertaking company secretarial duties.
  •   Monitoring and coordinating compliance activities of affiliated companies.
  •   Conduct legal research and draft legal opinions.
  •   Negotiating , drafting and reviewing of Commercial Agreements.
  •   Drafting of Sub-distributorship agreements/key Distributorship agreements/General Terms and Conditions.
  •   Negotiating, drafting and reviewing third party/service contracts.
  •   Drafting collateral documentation for customers/sub distributors/key accounts
  •   Providing legal assistance to the Finance Department on all matters relating to financial and security       documentation for financial services (i.e. facilities, guarantees etc)
  •   Undertaking all required registration and re-registrations with relevant statutory and regulatory bodies.
  •   Legal endorsement/certification of all company and employee personal documentation ( official/personal uses)
  •  Attending court on behalf of the company in all pending litigation
  •  Liaising with external counsels/prosecutors on pending litigation
  •  Overseeing all correspondence (oral/written) with third parties, statutory/regulatory bodies on legal matters.
  •  Liaising/supervising in-house head of security on debt collection and related matters.
  •   Liaising and assisting the Police during criminal investigations and prosecutions( watching brief).
  •  Providing legal assistance on all property related matters ( negotiations on property transactions: tenancies, lease renewals, sale & purchases)
  •  Reviewing and drafting of all land documentation
  •  Providing legal support to HR: In-house disciplinary hearings; CBA Negotiations; meeting with the various Trade Unions; overseeing all correspondence with Unions, statutory and regulatory bodies etc.
  •  Representing the Company at hearings of Public Regulatory bodies.
  •  Providing ongoing functional support and commercial input to all departments to minimize risks and ensure legal compliance.
  •  Managing company documentation in conjunction with Head of Administration.
  •  Providing legal advice and support on the formulation, implementation and amendment of the Companies’ policies and regulations.
  • Advising management on developments in the law and its impact on the operations of the companies.
  •  All other requests from the CEO and GMs of affiliated companies.

Legal Officer Requirement Skills & Knowledge

  • Ability to develop and deliver presentations
  • Demonstrated ability to successfully manage a large corporate or centralized institutional legal office
  • Skill in budget preparation and fiscal management
  • Ability to provide competent legal advice and counsel to senior university officials on a wide range of legal and policy issues
  • Knowledge of the range of applicable laws and regulations which impact on all facets of university policy and operations
  • Ability to analyze and interpret issues and to prepare legal opinions
  • Ability to communicate and interact with officials at all levels of government
  • Ability to supervise and train employees, to include organizing, prioritizing, and scheduling work assignments
  • Knowledge of current and developing legal issues and trends in area of expertise
  • Ability to supervise and coordinate the work of legal professionals, paraprofessionals, and consultants
  • Ability to foster a cooperative work environment
  • Knowledge of the principles and procedures of legal research
  • Employee development and performance management skills

  • Knowledge and understanding of institutional policies and procedures and the regulatory environment within which they operate
  • Knowledge of contract law
  • Knowledge of financial/business analysis techniques

  • Ability to develop and implement legal strategies and solutions
  • Knowledge of community legal resources
  • Knowledge of faculty and/or staff hiring procedures
  •  At least 10 years of experience directly related to the duties and responsibilities specified.
  • Member of the State Bar, or member in good standing of the State Bar of another state or District of Ghana
  • Completed degree(s) from an accredited institution that are above the minimum education requirement may be substituted for experience on a year for year basis.
